General Terms and Conditions of Sale

The services provided by Manuela Garcia include only the elements described in the signed quotation.

Any additional request or modification will be subject to an additional quotation or amendment.

The quotation, signed and dated with the words “approved and agreed”, constitutes full acceptance of these General Terms and Conditions of Sale.

If the assignment is commissioned on behalf of a company in the process of being incorporated, the signatory personally agrees to honour the payment.

A 30% deposit is required upon signature.

The remaining balance is due upon delivery of the final files.

Payment by bank transfer only.

Any late payment will result in statutory penalties and a fixed compensation fee of €40, in accordance with Article L.441-10 of the French Commercial Code.

No discount is granted for early payment.

The creations are protected by the French Intellectual Property Code.

The moral rights remain attached to the author.

The assignment of exploitation rights, including duration, media, territory and exclusivity, is specified in the quotation.

Any use outside the agreed scope will require written authorisation and additional compensation.

The assignment of rights only becomes effective once full payment has been received.

The deliverables remain the property of the Service Provider until the invoice has been paid in full.

The final files are delivered in the agreed formats, such as PDF, JPG or PNG.

Source files, including AI, PSD, RAW and INDD files, are not provided unless otherwise stated or subject to an additional fee.

Deadlines are indicative unless a firm date has been agreed in writing.

Any delay caused by the Client, including missing materials or late approvals, will postpone the deadlines without penalty for the Service Provider.

The Client guarantees that they hold the necessary rights to all content provided and releases the Service Provider from any liability in the event of a dispute.

The collaboration is based on mutual respect.

The Service Provider may suspend an assignment in the event of disrespectful behaviour, delays or non-payment.

No refund will be issued except in the event of a serious breach by the Service Provider.

Communication takes place through the agreed channels, including email, Notion, Drive, Google Meet and Teams.

Any request outside the initial scope may be subject to an additional fee.

Availability is limited to working days, with no obligation to respond immediately.

Unless a confidentiality clause applies, the Service Provider may mention the project in her portfolio and professional communications.

In the event of an embargo, a publication date may be agreed.

Any travel, including meetings, location scouting or photoshoots, must be agreed in advance and may be subject to an additional fee.

All communications and documents are strictly confidential.

No information will be disclosed without written consent.

Client data is used solely for administrative and accounting purposes.

It is not shared or sold and may be deleted upon request.

If the Client terminates the project, all amounts already paid will remain acquired.

Any work already completed will be payable in proportion to the progress of the assignment.

In the event of an unforeseen event, including illness, technical failure or natural disaster, the Service Provider may not be held liable for delays.

Any amounts already paid will remain due in consideration of the work already undertaken.

These General Terms and Conditions of Sale are governed by French law.

Any dispute that cannot be resolved amicably will be brought before the competent courts of Paris, France.
